Apropos of nothing...

Like most people on the internet, I used to have a fairly inaccurate view of Delaware incorporation.

I thought that there was some sort of tax advantage to incorporating there. There most definitely is not. In fact, Delaware levies somewhat heavy fees on corporations. And you still have to pay taxes wherever you actually do business.

The reason that corporations choose Delaware is the perception that there is a stable base of case law in the state that makes lawsuits more predictable.

Recently, however, this has come into question with a notorious case involving Tesla (who else) where the judge made a ruling that awarded lawyers suing Tesla $345 million.

Even though the ruling was reversed, companies are no longer confident in the Delaware jurisdiction and are decamping to states perceived as having less capricious laws.

Washington D.C. was carved out of land from two states, Virginia and Maryland. Virginia then took their part back in 1847. A literal reading of the clue made me think of two states as correct answers.
